Truett-Hurst Announces Extension of Tender Offer to Purchase up to 1,000,000 of its Shares
HEALDSBURG, Calif., Feb. 11, 2019 /PRNewswire/ — Truett-Hurst, Inc. (NASDAQ: THST) announced today that it has extended the expiration of its previously announced self tender offer to purchase up to 1,000,000 shares of its Class A common stock, including shares issued upon exchange of limited liability company interests of its subsidiary H.D.D., LLC, or such lesser number of shares of its Class A common stock as are properly tendered and not properly withdrawn, at a price of $2.40 per share of Class A common stock, to the seller in cash, less any applicable withholding taxes and without interest (the “Offer”). The Offer was previously scheduled to expire at 12:00 midnight, New York City time, at the end of the day on February 11, 2019 and will instead expire at 12:00 midnight, New York City time, at the end of the day on February 22, 2019. Truett-Hurst is extending the Offer to provide stockholders with sufficient time to consider supplemental disclosures that it anticipates making in a filing with the SEC. Truett-Hurst intends to issue a press release promptly following such disclosures to notify stockholders when such supplemental disclosures are available.
Stockholders who have previously validly tendered and not withdrawn their shares do not need to re-tender their shares or take any other action in response to the extension of the Offer.
